General terms and conditions of the Online Sneakers Maker service

1. SCOPE

1.1. These terms and conditions ("T&Cs") set forth the terms and conditions applicable to the Online Sneakers Maker service (the “Customization Services”), which consist in making bespoke modifications to Golden Goose products (the “Products”) in accordance with the specifications received from the customer (the “User”). The Customization Services apply with respect to Products which are purchased online through the website www.goldengoose.com (“Website”), maintained by Golden Goose S.p.A. or an affiliate thereof (the “Company”).

1.2. By placing an order for customization services from the website, you affirm that you are of legal age to enter into this agreement, and you accept and are bound by these T&Cs. You may not order or obtain products or services from the website if you (a) do not agree to these T&Cs, (b) are not the older of (i) at least 18 years of age or (ii) legal age to form a binding contract with the company, or (c) are prohibited from accessing or using the website or any of the website's contents, goods or services by applicable law.

1.3. The Company reserves the absolute right to accept or reject any requests for Customization Services in the event that the Company deems, in its sole discretion, that the words and/or images to be reflected on the Products are offensive, inappropriate, not in line with the Company's corporate values (i.e., familiality, positivity, quality, respect, success), or otherwise may expose the Company to liability.

2. AMENDMENTS

2.1. The Company reserves the right to amend these T&Cs at any time and in its sole discretion. An updated version of these T&Cs will be published from time to time on the Website. In any case, the Customization Services will remain subject to the version of T&Cs in effect at the time the order was originally placed, regardless of subsequent amendments.

3. HOW THE CUSTOMIZATION SERVICES WORK

3.1. After selecting a Product on the Website, the User may choose to personalize the Product by requesting Customization Services. The User will request such Customization Services by (i) selecting the requested services at the time of check out on the purchase completion page, and (ii) agreeing to pay for the Customization Services.

3.2. After purchasing the Product(s) and the Customization Service, the User will receive an order confirmation via email containing a link to book the customization session (the “Live Session”). The Company does not make any representation as to the availability of a Live Session in the date desired by the User. Live Sessions are available on a “first-come first-served” basis.

3.3. During the Live Session the User will interact with a Golden Goose sneakers maker artisan (hereinafter the “Artisan” or “Artisans”) who will then customize the Product(s) in accordance with the User’s specifications (if acceptable to the Company at the Company's sole discretion).

3.4. The Live Session will be recorded and made available to the User (through NFC technology, which will be available for later viewing through a scannable QR code label affixed to the Product(s)). Such recording may be used by the User solely for personal use and, in any event, in such a manner so as not to harm the image and/or reputation of the Company or the Artisan(s). Throughout this process the Company will follow its Privacy Policy regarding the collection and use of User’s personal data, which is available at: PRIVACY POLICY.

3.5. After the Live Session, the Company will send the Product(s) either to the Golden Goose store location selected by the User at the time of the purchase (in case the User chose the pick-up in store option), or to the address specified by the User at the time of purchase of the service.

4. CUSTOMIZATION PROCESS

4.1. The User shall participate in the Live Session at the selected date and time. The Live Session will be hosted through an online platform owned by the Company, and may be accessed via the link sent in the order confirmation email.

4.2. Two days prior to the live session and two hours prior to the live session, the Artisan will send the User a reminder of the scheduled appointment. If the User does not appear for the scheduled Live Session, or if the Live Session cannot happen due to technical issues with the host platform, then the Artisan will contact the User. If the Artisan can’t reach the User, Golden Goose customer care will contact the User to reschedule the Live Session.

4.3. If the User stops participating in the Live Session for any reason (i.e., after the Artisan has started working on the Product customization), the Live Session will be suspended and the Artisan will contact the User by telephone. If the User cannot be reached Golden Goose customer care will contact the User to reschedule the Live Session.

4.4. Notwithstanding what provided for in article 4.3 above, the Company shall, at its own and absolute discretion, evaluate each case independently to determine whether the customization has to continue or has already been completed (when, for example, given the nature and the extent of the customization carried out prior to the User’s disconnection, it is no longer possible to make changes to it in a second live session). Should the Company determine that the customization process has been concluded, or if the User does not schedule a new Live Session and/or does not participate in the rescheduled Live Session – as set forth in Articles 4.2 and 4.3 above – the Company shall consider the customization completed. It is understood and agreed upon that, in any event, the User will have only one opportunity to reschedule a Live Session, after which the Company shall deem the customization completed and send the Product(s) to the address specified by the User pursuant to Article 3.5 above.

4.5. Should the Company deem the customization concluded, or the User not schedule a new live session and/or not connect to the subsequent live session – as set forth in Arts. 4.2 and 4.3 above – the Company shall deem the customization activity completed. It is understood that, in any event, it will be possible for the User to reschedule a new live session just one time, after which time the Company shall deem the customization completed and send the product to the addresses specified by the User pursuant to Article 3.5.

5. SERVICE COST

Price for the Service shall be that published on the Website when the service purchase order is submitted. All prices are subject to change without advance notice. The User is responsible for verifying the final price prior to submitting the purchase order.

6. PAYMENTS

The Service payment methods available to the User are the same as those provided for Product purchases specified on the Website and in the General Conditions of Sale available on the Website.

7. PRODUCT DELIVERY OR PICK-UP

7.1. The customized Products will be delivered by express courier with a signature requirement to the address specified pursuant to Article 3.5. above.

7.2. Once the Company delivers the Product(s) to the courier, it will send the User a shipping confirmation with a tracking number to enable monitoring of the shipping process.

7.3. The Company estimates that delivery of the Product(s) will occur within 30 (thirty) days from the date of completion of the Live Session.

7.4. Delivery will be deemed to have occurred when the Product(s) are received at the address specified by the User at the time of purchase of the order, as evidenced by a signed courier delivery receipt.

7.5. Upon receipt of the Product(s), the User shall inspect the packaging to make sure that it is intact and with no signs of damage, tampering or alteration. If the User detects any signs of damage, tampering or alteration, he/she shall notify the courier immediately and either refuse the Product(s) or accept it with a written reservation of rights on the shipping documents. Furthermore, the User shall inform the Company of any such damage, tampering or alteration immediately, by contacting its customer service (the "Customer Service") as specified in Article 10 below.

7.6. In the event the courier entrusted with the delivery of the Products is unable to complete the delivery, the courier will store the Product(s) at its warehouse until collection by the User and, in any event, until the expiration of the time limit indicated in the attempted delivery notice left with the User. If the User does not collect the Product(s) within such time limit, the courier will return the Product(s) to the Company.

7.7. If the User chooses the “pick-up in store” option, he or she will receive an email notifying when the product is available for pick up.

8. WARRANTIES DISCLAIMER; INTELLECTUAL PROPERTY; LIMITATION OF LIABILITY

8.1. Except for any defects in, or non-conformity of, the Customization Services arising from the gross negligence or willful misconduct of the Company, all Customization Services and work product derived therefrom ("Deliverables") are being offered "AS-IS" and "WHERE-IS". To the fullest extent allowed under the law, the Company hereby disclaims all warranties, whether express or implied, statutory, or other pertaining to the Customization Services and Deliverables, and the Company specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and all warranties arising from course of dealing, usage or trade practice. All purchase orders for Customized Services are final and non-refundable.

8.2. As between the Company and the User, all intellectual property rights and all other rights in the Customization Services and Deliverables shall be owned by the Company. Subject these T&Cs, including the Company's receipt of full payment for the Customization Services, the Company licenses all such rights to the User free of charge and on a non-exclusive basis to such extent as is necessary to enable the User to make reasonable use of the Product(s) subject to the Customization Services.

8.3. To the maximum extent permitted by applicable law, under no circumstances shall the Company be liable for any indirect, incidental, consequential, special or exemplary damages, arising from your access or use, or inability to access or use, each of the Customization Services or the Website, whether or not the damages were foreseeable and whether or not the Company was advised of the possibility of such damages, including without limitation damages for loss of use, loss of profits or revenues, failure to receive or transmit any data, loss of time, damage to reputation or goodwill, misuse or disclosure of data or confidential information, business interruption and loss of privacy or any other commercial or pecunary loss arising from the Customization Services. Withour limiting the generality of the foregoing, the Company's aggregate liability (whether based in contract, negligence, strict liability, statute or other theory of liability) shall not exceed the amount of fees paid by you for the Customization Services, or One Hundred Dollars ($100), whichever is greater. The foregoing limitations apply even if the above stated remedy fails of its essential purpose.

9. PERSONAL DATA PROTECTION

Without prejudice to Section 3.4. above, the Company will process the User’s personal data for the purposes and in accordance with its Privacy Policy published on the Website, as it may be amended from time to time.

11. APPLICABLE LAW AND FORUM

These T&Cs are governed by the laws of the State of New York, without reference to conflict of laws provisions. Any action to enforce, or in connection with, these T&Cs shall be exclusively brought in the federal or state courts located in New York County, New York. The User hereby submits to the exclusive personal jurisdiction of such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

12. REFERENCE TO THE GENERAL CONDITIONS OF SALE

For any matters not expressly addressed in these T&Cs, the General Conditions of Sale published on the Company’s Website shall apply, when applicable.
